TERMS OF SERVICE

Geniustream LLC, DBA Defend It All and/or Scam Coach

Effective Date: October 22, 2026

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER (SECTION 17) THAT AFFECT YOUR LEGAL RIGHTS, AND THEY DESCRIBE WHAT OUR PRODUCTS ARE AND ARE NOT (SECTIONS 5 THROUGH 9).

1. The Agreement

Welcome to the websites, online course, and web application of Geniustream LLC, doing business as Defend It All and Scam Coach (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of defenditall.com, course.defenditall.com, and scamcoach.app (the “Site”), the Defend It All online course and its bonuses and tools (the “Course”), the Personalized Setup Guide (the “Setup Guide”), and the Scam Coach web application (the “App”) (collectively, the “Services”).

Our Privacy Policy, Refund Policy, and Scam Coach Disclosure, and any additional terms posted on the Site in connection with particular features or offers, are part of these Terms and are incorporated by reference. By clicking “I agree” or a similar button, by checking a box indicating your acceptance at checkout, or by accessing or using any part of the Services, you acknowledge that you have read, understand, and agree to be bound by these Terms. If you do not agree, do not use the Services. If a product-specific provision of these Terms (Sections 5 through 9) or the Refund Policy conflicts with a general provision of these Terms, the product-specific provision or the Refund Policy controls as to that product.

2. Eligibility; United States Only

The Services are offered only to individuals who are at least eighteen (18) years old and who reside in the United States. By using the Services you represent that you meet both requirements. We do not knowingly offer the Services to, or collect personal information from, anyone under eighteen. The Services are not directed to, and are not intended for use by, residents of the European Union, the United Kingdom, or any other jurisdiction outside the United States, and we may refuse or cancel orders from outside the United States.

3. Your Account

Access to the Course, the Setup Guide, and the App requires an account. You agree to provide current, complete, and accurate information when you register and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account, and you agree to notify us promptly at [email protected] of any unauthorized use. Accounts are personal to you; you may not share your credentials, allow others to use your account, or transfer your account to anyone else. We may suspend or terminate accounts that violate these Terms.

4. What the Services Are, and What They Are Not

4.1 Educational purposes only. The Course, the Setup Guide, the App, and all content made available through the Services (collectively, “Content”) are provided solely for general educational and informational purposes. They teach a decision-making process that you apply yourself. They are not, and are not a substitute for, legal, financial, tax, insurance, investment, cybersecurity, or other professional advice, and no attorney-client, advisor-client, fiduciary, or other professional relationship is created by your purchase or use of the Services. Company is not a law firm, a financial institution, a credit repair organization, a credit services organization, an identity-restoration service, a private investigator, or a licensed security consultant, and does not hold itself out as any of them.

4.2 No guarantee of protection or outcome. No course, tool, or system can identify or prevent every scam, fraud, or identity threat. Company does not warrant, promise, or guarantee that you will avoid, detect, recognize, prevent, or recover from any scam, fraud, data breach, identity theft, or other security incident, that any particular message, call, website, or request is or is not legitimate, or that you will achieve any particular result. Scams change constantly, and the Content may not address a threat you encounter. Your results depend on many factors, including how and whether you apply what you learn.

4.3 Your decisions remain yours. Every decision about whether to click, call, reply, pay, share information, change an account setting, or take any other action is yours alone. Before acting on any request involving money, account access, or personal information, verify it independently through a source you locate yourself (for example, the phone number on the back of your card or the website address you type in yourself), never through a link, phone number, or reply address contained in the message itself. If you believe a crime is in progress, call 911. If you believe you are the victim of fraud or identity theft, contact your financial institution and local law enforcement, and consult official government resources such as ReportFraud.ftc.gov and IdentityTheft.gov.

4.4 No credit repair, identity restoration, or legal services. Company does not review, dispute, or correct credit reports; does not communicate with creditors, credit bureaus, or financial institutions on your behalf; does not provide identity-restoration services; and does not prepare legal documents or give legal advice. Any discussion in the Content of steps a person may take after an incident is general information about publicly available options and official resources, not a service performed for you.

4.5 Accuracy and changes. We believe the Content is accurate when published, but the tactics used by scammers, the security features offered by third-party providers, and the menus and settings of third-party products change frequently. The Content may become outdated, and a feature described in the Content may be renamed, moved, or discontinued by its provider. You are responsible for confirming current information with the relevant provider or official source. We make no representation that the Content is complete, current, or error-free.

4.6 Third-party products and providers. The Content may refer to third-party products, services, companies, or government resources. Those references are for educational purposes only and are not endorsements, and we are not responsible for third-party products or services. As of the Effective Date, Company does not receive compensation from any third party whose products or services are mentioned in the Content. If that changes, we will disclose the relationship where the recommendation appears, consistent with FTC guidance.

5. The Defend It All Course

5.1 What you receive. Upon purchase, you receive access through your account to the Course modules, bonus materials, and tools described on the Site at the time of purchase, as they exist from time to time. Features, bonuses, and tools may be updated, replaced, or improved; we will not materially reduce the Course content you purchased without notice.

5.2 Duration of access. We provide access to the Course for as long as we continue to offer the Course. We may retire the Course or the platform on at least thirty (30) days’ notice to the email address on your account.

5.3 Pricing. Prices are as displayed at checkout. We may change prices for future purchases at any time. A displayed comparison value for the Course components is an estimate of the value of the included materials and is not a representation that any component was previously sold at that price.

6. The Personalized Setup Guide

6.1 What it is. The Setup Guide is an optional, one-time purchase. You tell us, through a short form, the general types of accounts, services, and assets you use (for example, your mobile carrier, your bank, your email provider, your social media platforms, and whether you own a home). Based on those categories, our system assembles pre-recorded educational modules describing the security features those types of providers typically offer and how to locate and enable them.

6.2 What it is not. The Setup Guide is assembled automatically from the categories you select. It is not reviewed by a person, it is not an audit, assessment, review, or analysis of your actual accounts, devices, or security, and it does not evaluate your risk. We never access, log in to, inspect, or change any account or device belonging to you, and you agree not to provide us with account credentials, account numbers, or access to any account or device. The recommendations are general to the category or provider identified and may not reflect the current features of your particular account or your provider’s current menus. Which steps to take is entirely your decision. Section 4 applies in full to the Setup Guide.

6.3 Information you provide. Provide only the categories and provider names requested. Do not enter account numbers, usernames, passwords, security codes, Social Security numbers, or street addresses. We handle your form responses as described in our Privacy Policy, including the retention period stated there.

6.4 Delivery. The Setup Guide is delivered inside your account and may include links to unlisted videos hosted on a third-party video platform.

7. The Scam Coach App

7.1 What the App does. The App lets you upload a screenshot or paste the text of a message, email, text, or other communication that concerns you (a “Submission”). Automated systems, including artificial intelligence, identify characteristics of the Submission that are worth checking and suggest steps you can take to verify it independently.

7.2 What the App does not do. The App does not determine whether a Submission is genuine or fraudulent and does not tell you that any message, caller, website, or request is safe, legitimate, or trustworthy. The App does not produce a safety score, grade, rating, or verdict of any kind. The App may fail to identify a scam, may flag a legitimate message, and may produce results that are incomplete or inaccurate. A result from the App is educational information to help you look at a Submission more carefully; it is never a reason to act on, pay, reply to, or trust a message, and never a reason to disregard a genuine warning from your bank, your carrier, or another institution. Section 4 applies in full to the App. The Scam Coach Disclosure, incorporated here, describes the App in more detail.

7.3 Submission rules. You agree not to submit, and to crop or redact before submitting: passwords, PINs, security or two-factor codes, backup or recovery codes, full card or account numbers, Social Security or taxpayer identification numbers, government-issued identification, medical or health information, or any other information whose exposure could harm you or anyone else. You agree not to submit any content that is unlawful, that you do not have the right to submit, or that is intended to disrupt or test the App. A Submission will often include incidental information about the sender or about other people; you represent that you have the right to submit it for the limited purpose of the App.

7.4 How Submissions are handled. Submissions are processed transiently by Company and by contracted service providers, including an artificial-intelligence provider, solely to generate your result, and are not retained after the result is delivered. Company does not use your Submissions to train artificial-intelligence models. You grant Company and its service providers a limited, non-exclusive license to process each Submission for the sole purpose of operating the App. Because Submissions are not retained, we cannot retrieve or return them.

7.5 Subscription; automatic renewal. The App is sold as a subscription billed in advance on a monthly or annual basis, at the price and interval you select at checkout. BY STARTING A SUBSCRIPTION YOU AUTHORIZE US TO CHARGE YOUR PAYMENT METHOD AT THE BEGINNING OF EACH BILLING PERIOD, AT THE THEN-CURRENT PRICE FOR YOUR PLAN, UNTIL YOU CANCEL. Before you are charged, the checkout page states the price, the billing interval, that the subscription renews automatically, and how to cancel, and you must separately consent to the recurring charge. We will send a confirmation to the email address on your account containing those terms and cancellation instructions. For annual plans, we will send a reminder to that email address at least thirty (30) days before each renewal.

7.6 Cancellation. You may cancel at any time, and cancellation is at least as easy as signing up: through the “Subscription” (or similarly named) setting in your account, or by emailing [email protected] with the subject line “Cancel Subscription” from the email address on your account. Cancellation takes effect at the end of the billing period already paid for; you keep access until then, and you will not be charged again. Except as stated in the Refund Policy, we do not provide refunds or credits for partial billing periods.

7.7 Price changes. We may change the subscription price on at least thirty (30) days’ notice to the email address on your account; the new price applies to billing periods that begin after the notice period, and you may cancel before then to avoid the new price.

8. Payment Terms

Payments are processed by a third-party payment processor; we do not receive or store your full card number. You represent that you are authorized to use the payment method you provide and that the information you supply is accurate. Prices are in U.S. dollars and exclude any taxes we are required to collect, which will be shown at checkout. If a charge is declined or reversed, we may suspend access until it is resolved. If you believe a charge is wrong, please contact us at [email protected] before disputing it with your card issuer; most issues can be resolved in a single email, and our Refund Policy describes the refunds we offer.

9. Refunds

Our Refund Policy, available at https://defenditall.com/refund-policy, is part of these Terms. In summary: the Course is covered by a 30-day money-back guarantee as described on the Site and in the Refund Policy; the Setup Guide may be cancelled for a full refund within twenty-four (24) hours of purchase if work on it has not yet begun, and is non-refundable once work begins, as described in the Refund Policy; and App subscriptions may be cancelled at any time as described in Section 7.6. Only the refund terms stated in the Refund Policy apply, and nothing on the Site or in the Content should be read to expand them.

10. Intellectual Property; Your License

10.1 Our Content. The Services and all Content, including the Course videos, text, audio, graphics, worksheets, checklists, binders, templates, the App, and the Site’s “look and feel,” trademarks, logos, and software, and the selection and arrangement of all of the foregoing, are owned by Company or its licensors and are protected by United States and international copyright, trademark, and other laws.

10.2 Your license. Subject to these Terms and your payment of applicable fees, Company grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services and Content for your own personal, non-commercial use. You may share the printed worksheets, checklists, and family-planning materials designated for that purpose with members of your household.

10.3 Restrictions. Except as expressly permitted above, you may not copy, record, download, reproduce, distribute, publish, display, post, transmit, sell, resell, license, lend, or create derivative works from any Content; share your login or give anyone else access to the Services; use the Content to create a competing product or to train an artificial-intelligence model; remove any proprietary notice; or use the Content for any commercial purpose, including coaching, consulting, or teaching others for a fee. Unauthorized sharing or redistribution terminates your license immediately, without refund, and we may pursue all available remedies, including injunctive relief.

10.4 Trademarks. “Defend It All,” “Scam Coach,” the Defend It All Protection Protocol, and our logos are trademarks of Company. You may not use them without our prior written permission.

10.5 Feedback. If you send us comments, suggestions, or ideas about the Services (“Feedback”), you agree that we may use them without restriction or compensation to you, and you assign to Company all rights in the Feedback. Feedback does not include your Submissions to the App, which are handled under Section 7.

10.6 Copyright complaints. If you believe Content on the Services infringes your copyright, send a notice containing the information required by 17 U.S.C. § 512(c)(3) to [email protected], or by mail to Geniustream LLC, 4400 N Scottsdale Road Ste 9-215, Scottsdale, AZ 85251.

11. Acceptable Use

You agree that you will not, and will not attempt to or help anyone else to:

  • use the Services for any purpose other than your own personal use, or in violation of any law;
  • access, scrape, crawl, or collect information from the Services by any automated means, or use any robot, spider, script, or similar tool in connection with the Services;
  • access the Services other than through the interfaces we provide, or access, tamper with, or use non-public areas of the Services or our systems or those of our providers;
  • probe, scan, or test the vulnerability of the Services or of any Company system or network, breach or circumvent any security or authentication measure, or bypass any technological measure that controls access to the Services or Content, whether or not you consider your purpose benign;
  • interfere with, disrupt, damage, or overload the Services, including by introducing viruses or other harmful code or by denial-of-service attacks;
  • decompile, disassemble, reverse engineer, or attempt to derive the source code, models, prompts, or algorithms used to provide the Services;
  • mirror or frame the Services, or use our name, trademarks, or logos without our written consent;
  • impersonate any person, misrepresent your affiliation, or provide false information;
  • submit to the Services any content that is unlawful, infringing, defamatory, or harmful, or that you do not have the right to submit;
  • use the Services to harass, threaten, defraud, or harm anyone, or to target, contact, or take action against any person or entity identified in a Submission; or
  • resell, sublicense, or commercially exploit the Services or Content.

We may monitor use of the Services, investigate suspected violations, and cooperate with law enforcement.

12. Communications and Electronic Notices

12.1 Service communications. By creating an account or making a purchase, you agree that we may send you transactional and service communications (receipts, account notices, subscription confirmations and renewal reminders, changes to these Terms, and support responses) at the email address on your account.

12.2 Marketing communications. Marketing emails and text messages are sent only with your consent, which we obtain separately at the point where you provide your contact information and which you may withdraw at any time, as described in our Privacy Policy. Consent to receive marketing messages is not a condition of purchase. If you consent to text messages, message frequency varies, message and data rates may apply, you may reply STOP to cancel and HELP for help, and you represent that you are the authorized user of the number you provide.

12.3 Electronic notices. You consent to receive all agreements, notices, disclosures, and other communications relating to the Services electronically, by email or by posting on the Site, and you agree that electronic communications satisfy any legal requirement that a communication be in writing. You may withdraw this consent by emailing [email protected] and closing your account; because the Services are delivered electronically, withdrawal will end your access.

13. Third-Party Services and Links

The Services rely on third-party providers (for example, our payment processor, hosting provider, customer relationship platform, video hosting platform, and artificial-intelligence provider) and may link to third-party websites and resources. We do not control and are not responsible for third-party services, websites, content, products, or policies. Links are provided for convenience and are not endorsements. Your use of any third-party service is governed by that third party’s terms and privacy policy. We are not a party to, and are not responsible for, any transaction between you and a third party, even if you learned of the third party through the Services.

14. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT, INCLUDING RESULTS PRODUCED BY THE APP, ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR COMPLETENESS. WITHOUT LIMITING THE FOREGOING, COMPANY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT ANY RESULT, OBSERVATION, OR RECOMMENDATION WILL BE ACCURATE OR COMPLETE; THAT ANY SCAM, FRAUD, OR THREAT WILL BE IDENTIFIED; OR THAT YOU WILL AVOID OR RECOVER FROM ANY LOSS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY COMPANY OR ITS REPRESENTATIVES CREATES A WARRANTY. SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) COMPANY AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF MONEY, FUNDS, PROPERTY, DATA, PROFITS, OR GOODWILL, OR FOR ANY LOSS RESULTING FROM A SCAM, FRAUD, IDENTITY THEFT, UNAUTHORIZED ACCESS, OR OTHER SECURITY INCIDENT, OR FROM ANY ACTION YOU TAKE OR DO NOT TAKE IN RELIANCE ON THE SERVICES OR CONTENT, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) COMPANY’S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO COMPANY FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED DOLLARS ($100). THESE LIMITATIONS ARE FUNDAMENTAL ELEMENTS OF THE BARGAIN BETWEEN YOU AND COMPANY AND APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR COMPANY’S FRAUD OR WILLFUL MISCONDUCT.

16. Indemnification

You agree to defend, indemnify, and hold harmless Company and its members, managers, officers, employees, contractors, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms, your Submissions, your violation of any law or of the rights of any third party, or your use of the Services other than as permitted by these Terms.

17. Dispute Resolution; Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS AND HOW CLAIMS BETWEEN YOU AND COMPANY ARE RESOLVED.

17.1 Governing law. These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Arizona and the Federal Arbitration Act, without regard to conflict-of-law principles.

17.2 Notice of Dispute and informal resolution. Before starting an arbitration or any other proceeding, the party asserting a Dispute must send the other party a written notice of the Dispute (a “Notice of Dispute”). A Notice of Dispute to Company must be sent by email to [email protected] or by mail to Geniustream LLC, 4400 N Scottsdale Road Ste 9-215, Scottsdale, AZ 85251; a Notice of Dispute to you will be sent to the email address on your account. The Notice of Dispute must include the sender’s name, mailing address, and email address; a description of the nature and basis of the Dispute; and the specific relief requested. The parties agree to try in good faith to resolve the Dispute within sixty (60) days after the Notice of Dispute is received, and neither party may start an arbitration or other proceeding before that period ends.

17.3 Binding arbitration. If the Dispute is not resolved informally, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the relationship between you and Company, including the validity, scope, or enforceability of this Section (collectively, “Disputes”), will be resolved exclusively by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, before a single neutral arbitrator, who will issue a reasoned written decision. Unless you and Company agree otherwise, any in-person hearing will be held in Maricopa County, Arizona. For claims of ten thousand dollars ($10,000) or less, you may choose whether the arbitration is conducted solely on the basis of documents submitted to the arbitrator, by telephone or video conference, or by an in-person hearing. The arbitrator’s award is final and binding and may be entered as a judgment in any court of competent jurisdiction.

17.4 Fees and costs. Payment of AAA filing, administrative, and arbitrator fees is governed by the AAA Consumer Arbitration Rules. Company will not seek to recover the fees and costs it is responsible for paying under those rules, and will not seek to recover its attorneys’ fees from you, unless the arbitrator finds that your claim was frivolous or brought for an improper purpose. Each party otherwise bears its own attorneys’ fees and costs unless the arbitrator awards them under applicable law.

17.5 Exceptions. Either party may bring an individual claim in small claims court if it qualifies, in the county in which you reside or in Maricopa County, Arizona. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights or to stop unauthorized use of the Services. Claims for public injunctive relief (relief whose primary purpose is to prohibit unlawful acts that threaten future injury to the public) will be decided by a court of competent jurisdiction rather than by the arbitrator, and any such claim will be stayed pending the arbitration of the parties’ individual claims.

17.6 Class action and jury waiver. YOU AND COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. UNLESS YOU AND COMPANY AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF DIFFERENT PERSONS OR PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING. YOU AND COMPANY EACH WAIVE ANY RIGHT TO A JURY TRIAL. If this class action waiver is found unenforceable as to a particular Dispute, then the agreement to arbitrate in this Section 17 is void as to that Dispute, which will be decided by a court in accordance with Section 17.7, and any remaining arbitrable claims will be stayed pending the court proceeding.

17.7 Opt-out; court proceedings. You may opt out of arbitration by sending a written notice stating your name, the email address on your account, and that you decline this arbitration agreement to [email protected] within thirty (30) days after you first accept these Terms. If you opt out, or if a Dispute is otherwise to be decided by a court, Sections 17.1, 17.5, and 17.8 still apply, and the Dispute will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, to whose jurisdiction and venue you consent.

17.8 Time limit. To the extent permitted by law, any claim arising out of or relating to the Services or these Terms must be brought within one (1) year after it accrues, or it is permanently barred.

17.9 Changes to this Section. If we change this Section after you accept these Terms, the change will not apply to any Dispute of which we received a Notice of Dispute before the change took effect, and you may reject the change by written notice to [email protected] within thirty (30) days after it is posted, in which case the version of this Section you most recently accepted will continue to apply.

18. Suspension and Termination

We may suspend or terminate your access to the Services, with or without notice, if you violate these Terms, if required by law, or if we discontinue the Services as described above. You may close your account at any time by emailing [email protected]. Sections 4, 7.2 through 7.4, 9, 10, 11, and 14 through 20 survive termination.

19. Changes to These Terms

We may revise these Terms by posting the revised version on the Site with a new Effective Date. For material changes, we will also notify account holders by email at least thirty (30) days before the changes take effect, except that changes required by law may take effect sooner. Your continued use of the Services after the Effective Date of a revised version constitutes acceptance of the revision. Changes to the subscription price or billing terms of the App are governed by Section 7.

20. General

20.1 Entire agreement. These Terms, together with the Privacy Policy, Refund Policy, Scam Coach Disclosure, and any additional terms incorporated by reference, are the entire agreement between you and Company regarding the Services and supersede all prior communications. Statements in marketing materials describe the Services generally and do not create warranties or expand the refund terms.

20.2 Assignment. You may not assign or transfer these Terms or your account. Company may assign these Terms, in whole or in part, to an affiliate or to a successor in connection with a merger, acquisition, reorganization, or sale of assets, without notice to or consent from you.

20.3 No waiver; severability. Our failure to enforce any provision is not a waiver. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in effect, except as stated in Section 17.5.

20.4 Force majeure. Company is not liable for any delay or failure caused by events beyond its reasonable control, including outages of third-party platforms on which the Services depend.

20.5 No agency. Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship.

20.6 Notices to Company. Legal notices to Company must be sent to [email protected] and by mail to Geniustream LLC, 4400 N Scottsdale Road Ste 9-215, Scottsdale, AZ 85251.

20.7 California residents. Under California Civil Code § 1789.3, California residents are entitled to the following notice: the provider of the Services is Geniustream LLC, 4400 N Scottsdale Road Ste 9-215, Scottsdale, AZ 85251. Complaints regarding the Services, or requests for further information about the Services, may be sent to that address or to [email protected]. The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Boulevard, Suite N112, Sacramento, CA 95834, or by telephone at (916) 445-1245 or (800) 952-5210.

20.8 Contact. Questions about these Terms may be sent to [email protected].
